Terms of Service (Draft)

1. Service. CostLatch provides best-effort hard budget enforcement and loop detection via an API proxy. It is not a guarantee against all overspend.
2. Customer responsibilities. You must also configure native spend limits at OpenAI, Anthropic, Cursor, and any other provider. You are responsible for your provider keys and lawful use of models.
3. No prompt storage. Default configuration does not store prompts/completions. Enabling optional debug is your choice.
4. Estimates. Pre-request cost estimates may differ from provider invoices (caching, batch pricing, new models). Caps are enforced on our estimates/settlements, not on the provider’s final invoice.
5. Limitation of liability. To the maximum extent permitted by law, CostLatch is not liable for residual overspend, race conditions, upstream outages, or consequential damages. Caps may be exceeded slightly due to in-flight requests.
6. Fees. Subscription fees billed via Stripe. Refunds per Stripe dispute rules / our refund policy (TBD).
7. Acceptable use. No abuse, no illegal content facilitation, no sharing of proxy keys publicly.
8. Governing law. Laws of New South Wales, Australia (TBD).
